Dhoot Transmission IPO: Auto component manufacturing company and Bain Capital backed company Dhoot Transmission has taken its steps forward for an IPO of Rs 1400 crore. In this sequence, the company has submitted its updated draft paper to the market regulator SEBI.

Earlier, the company has received approval from SEBI on May 5, 2026 through confidential pre-filing route. After this IPO of the mainboard segment, the company’s shares will be listed on both BSE and NSE exchanges.

What will be the structure of IPO?

Along with new shares, sale of old shares (OFS) has also been included in this public issue. In this, the company will issue brand new equity shares worth Rs 1400 crore and under the OFS window, the existing promoters and shareholders will sell their equity shares worth up to Rs 1.63 crore. Under the OFS, US-based Bain Capital will sell approximately 1.32 crore equity shares through its subsidiary BC Asia Investments XV Ltd, while Mangalam Capital Pvt Ltd (formerly known as Mangalam Coils Pvt Ltd) will sell 31.18 lakh shares of the company.

use of funds raised

The company will use about Rs 493.9 crore of the money raised from the fresh issue to pay off its old debt. Rs 272.58 crore will be invested in its subsidiaries like Dhoot Autocomponents and Dhoot UK. Rs 150 crore will be used to set up new plants in Jhajjar in Haryana and Shoolgiri in Tamil Nadu.

What does the company do?

Dhoot Transmission, a company established in 1999, manufactures and supplies wiring harness. These harnesses integrate electronic sensors and controllers, switches, terminals, connectors, junction boxes, high-voltage interconnection systems and data cables and deliver application-specific architectures on different platforms.

The company claims to be one of the top two players in the two-wheeler and three-wheeler wiring harness market in the country, with a market share of 44.64 percent by value in FY25. Its customers include Bajaj Auto, TVS Motor Company, Honda Motorcycle and Scooter India and Royal Enfield.
